1. Definitions
- "Platform" means the Eduzentra Education Consultancy CRM software, dashboards, portals, APIs, and related tools we provide.
- "Customer", "you", or "your" means the individual or organization that registers for or uses the Platform.
- "Users" means employees, counselors, agents, or other individuals authorized by Customer to access the Platform.
- "Customer Data" means leads, student records, documents, messages, and other data uploaded or processed through the Platform by Customer.
2. Services
Eduzentra provides cloud-based CRM software for education consultancies, study abroad agencies, visa and immigration consultants, and related businesses. Features, limits, and availability depend on your selected subscription plan.
We may update, improve, or modify features from time to time. We will use reasonable efforts to avoid material adverse changes to core functionality during an active paid subscription term.
3. Account Registration and Security
You must provide accurate registration information and keep it updated. You are responsible for maintaining the confidentiality of login credentials and for all activity under your account. Notify us immediately of any unauthorized access or security breach.
You must ensure Users comply with these Terms. Customer remains liable for actions taken by Users on the Platform.
4. Subscription, Billing, and Free Trial
Paid subscriptions are billed in advance according to the plan and billing cycle selected at checkout (monthly, quarterly, or annual, as offered). Prices are exclusive of applicable taxes unless stated otherwise.
Free trials, if offered, provide temporary access to specified features. Unless cancelled before the trial ends, your account may automatically convert to a paid subscription and you authorize us to charge the payment method on file.

5. License and Acceptable Use
Subject to these Terms and payment of applicable fees, we grant Customer a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for internal business purposes during the subscription term.
You agree not to:
- Copy, modify, reverse engineer, decompile, or create derivative works of the Platform except as permitted by law.
- Resell, sublicense, or make the Platform available to third parties outside your organization without written consent.
- Use the Platform for unlawful, fraudulent, harassing, or spam activities.
- Upload malware, attempt unauthorized access, or interfere with platform security or performance.
- Process personal data without a lawful basis or in violation of applicable privacy laws.
We may suspend or terminate access for violations of these Terms or to protect the Platform and other customers.
6. Customer Data and Privacy
Customer retains ownership of Customer Data. You grant us a limited license to host, process, transmit, and display Customer Data solely to provide and support the Platform.
Our handling of personal information is described in our Privacy Policy.
Customer is solely responsible for the accuracy, legality, and consent related to Customer Data, including student and lead information entered into the CRM.
7. Intellectual Property
The Platform, software, branding, documentation, and all related intellectual property are owned by Eduzentra or its licensors. No rights are granted except as expressly stated in these Terms.
Feedback you provide may be used by us without restriction or compensation to improve our services.
8. Service Availability and Support
We aim for high availability but do not guarantee uninterrupted or error-free operation. Scheduled maintenance, upgrades, or events beyond our reasonable control may cause temporary downtime.
Support channels and response times depend on your subscription plan. Business-hour support is available for eligible plans as described on our website.
9. Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the Platform will meet all your requirements or that admission, visa, or enrollment outcomes will result from use of the software.
10. Limitation of Liability
To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunities arising from or related to use of the Platform.
Our total aggregate liability for any claims arising under these Terms shall not exceed the fees paid by Customer to us in the twelve (12) months preceding the event giving rise to the claim.
11. Indemnification
Customer agrees to indemnify and hold us harmless from claims, damages, losses, and expenses (including reasonable legal fees) arising from Customer Data, misuse of the Platform, violation of these Terms, or violation of applicable law by Customer or Users.
12. Term and Termination
These Terms remain in effect while you use the Platform. You may cancel your subscription according to your plan terms. We may suspend or terminate access for non-payment, breach of Terms, or legal requirements.
Upon termination, your right to access the Platform ends. We may delete Customer Data after a reasonable retention period unless export or retention is required by law or agreed in writing.
13. Governing Law and Disputes
These Terms are governed by the laws of India, without regard to conflict of law principles. Courts in Mumbai, Maharashtra shall have exclusive jurisdiction, subject to mandatory consumer protection laws in your jurisdiction where applicable.
14. Changes to Terms
We may update these Terms from time to time. Updated Terms will be posted on this page with a revised effective date. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
